Terms and Conditions

Terms & Conditions — Interstate Telecommunications, Inc.
These Terms and Conditions ("Agreement") govern the 30-Day Commercial Camera Trial Program offered by Interstate Telecommunications, Inc. ("Interstate"). By signing the Trial Agreement or accepting installation of trial equipment, the customer ("Customer") acknowledges reading, understanding, and agreeing to these Terms and Conditions in their entirety. This Agreement is governed by the laws of the State of South Carolina.

Trial Equipment & Ownership

All equipment provided under this trial program, including but not limited to the UNVR Instant NVR, G6 Bullet camera, surveillance drive, and associated cables, remains the sole and exclusive property of Interstate Telecommunications, Inc. at all times during the trial period. This Agreement does not transfer, convey, or imply any ownership interest in any equipment to the Customer.

The trial is limited to one (1) installation per business location and is non-transferable. The Customer may not relocate, reassign, or share trial equipment with any third party.

Interstate Telecommunications, Inc. reserves the right to terminate the trial at any time with reasonable notice and to retrieve all equipment at its sole discretion.

The Customer must provide reasonable access to the premises for both installation and retrieval of equipment by Interstate Telecommunications personnel.

In the event of equipment malfunction during the trial period that is determined to be the result of hardware failure, software issues, or circumstances unrelated to customer actions, Interstate Telecommunications, Inc. will repair or replace the affected equipment at no cost to the Customer. Interstate Telecommunications, Inc. will make reasonable efforts to resolve equipment malfunctions within two (2) business days of being notified. The Customer agrees to promptly notify Interstate Telecommunications, Inc. of any equipment issues at 770-781-4787 or sales@interstatenetworks.com.

Equipment malfunctions determined to be the result of customer tampering, physical damage, unauthorized modifications, interference with cabling or connections, or misuse will be the financial responsibility of the Customer as outlined in Section 2.

Equipment Condition & Liability

The Customer accepts responsibility for all trial equipment from the time of installation until the time of retrieval by Interstate Telecommunications, Inc. The Customer agrees to maintain all equipment in the same condition as installed, reasonable wear excepted. A complete inventory of installed equipment, including make, model, and serial numbers, is documented separately on the signed Trial Agreement.

Any damage, loss, theft, or destruction of trial equipment during the trial period will be the sole financial responsibility of the Customer and will be billed at the current replacement cost of the affected equipment at the time of loss, including applicable taxes, shipping, tariffs, and procurement fees. Interstate Telecommunications, Inc. will provide the Customer with written documentation of current replacement costs upon request.

Interstate Telecommunications, Inc. is not liable for any theft, vandalism, property damage, personal injury, or financial loss occurring at the Customer's premises during or after the trial period.

System Access — Trial Viewer Account

During the trial period, the Customer will be provided one (1) viewer-level user account through the UniFi Protect mobile application and/or web browser interface, created at the time of installation by the Interstate Telecommunications technician. This account permits the following functions only:

  • Live camera viewing via mobile phone or web browser
  • Recorded footage playback and search
  • Receipt of AI-powered alert notifications as configured by Interstate Telecommunications

Administrative access — including but not limited to adding users, modifying camera settings, adjusting recording configurations, or accessing system administration functions — is expressly reserved for Interstate Telecommunications, Inc. during the trial period. Full administrative access is granted to the Customer only upon execution of a full system purchase agreement.

The Customer may not attempt to access, modify, bypass, share, or transfer the trial viewer account or system credentials. Any unauthorized access or modification shall constitute a material breach of this Agreement.

AI Detection & Technology Disclaimer

This section contains important limitations of liability. Please read carefully.

AI-powered detection features offered through the UniFi Protect platform, including but not limited to facial recognition, license plate recognition (LPR), person detection, vehicle detection, package detection, and smart alarm features, are provided as supplementary monitoring assistance tools only.

Interstate Telecommunications, Inc. makes no warranty, express or implied, that these features will:

  • Accurately identify any specific individual, vehicle, or license plate
  • Capture or detect any specific event, incident, or activity
  • Provide footage of sufficient quality for use in any legal proceeding
  • Prevent any crime, theft, vandalism, or other harmful event
  • Function without interruption or error under all conditions

Detection accuracy may vary significantly based on, but not limited to: camera placement and mounting angle, ambient lighting conditions, weather and environmental factors, distance between subject and camera, camera resolution settings, obstructions within the camera field of view, and network and hardware performance.

These features are not a substitute for professional security services, law enforcement, alarm monitoring services, or other protective measures. Interstate Telecommunications, Inc. shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the failure of any AI detection feature to perform as expected.

Recording, Storage & Data

All footage recorded during the trial period is stored locally on a 1TB surveillance drive included in the Interstate Telecommunications trial equipment package. This drive is the sole property of Interstate Telecommunications, Inc. and remains part of the trial equipment package at all times. It will not be transferred to, installed in, or credited toward any permanent system upon purchase.

Interstate Telecommunications, Inc. does not remotely access, monitor, copy, or transmit Customer footage during the trial period without explicit written consent.

Customer Footage Requests

Interstate Telecommunications, Inc. will provide the Customer with a complete copy of all requested recordings at any time during the trial period or at the time of equipment retrieval. The Customer is responsible for providing or arranging a compatible method for receiving large video files, such as an external hard drive, USB drive, or cloud storage service. Interstate Telecommunications, Inc. will assist with the transfer process but is not responsible for providing transfer hardware or software.

Drive Retention & Deletion

Upon completion of equipment retrieval, the 1TB trial drive will be returned to Interstate Telecommunications, Inc. as part of the trial equipment package. All footage remaining on the drive at the time of retrieval will be permanently and irreversibly deleted. Interstate Telecommunications, Inc. does not retain any Customer footage following retrieval, except where the Customer has provided separate written consent for use of specific footage clips for marketing and promotional purposes under Section 9.

Full System Drive Upgrade

Customers who purchase a full camera system will receive a new surveillance drive appropriately sized for their system configuration, determined at the time of system proposal based on camera count, recording resolution, and desired retention period. The trial 1TB drive is not included in or credited toward the full system purchase.

Recording Continuity

Continuous recording is dependent on available local storage capacity and system performance. Interstate Telecommunications, Inc. does not guarantee uninterrupted or complete recording of all events. Internet connectivity is required for remote access and mobile viewing. Local recording will continue independently of internet connectivity. Interstate Telecommunications, Inc. is not liable for data loss resulting from hardware failure, power outages, network interruptions, or circumstances beyond its reasonable control.

The Customer acknowledges that recording activity at their business premises is not a new practice introduced by this trial, and that the Customer bears sole responsibility for notifying employees, customers, and any other individuals of recording activity as required by applicable federal, state, and local law.

New Installation — No Existing Camera System

The following additional conditions apply exclusively in circumstances where the trial installation represents the Customer's first camera system and no prior surveillance equipment exists on the premises. Where the Customer has existing surveillance equipment, this section does not apply.

In a new installation scenario, the Customer is solely and exclusively responsible for compliance with all applicable federal, state, and local laws governing the installation and use of surveillance equipment, including but not limited to:

  • Posting required or recommended signage notifying employees, customers, and visitors that video surveillance is in use on the premises
  • Providing any legally required notice to employees regarding workplace monitoring or surveillance
  • Ensuring that no cameras are installed in areas where individuals have a reasonable expectation of privacy, including but not limited to restrooms, changing rooms, locker rooms, or private offices
  • Compliance with any applicable audio recording consent laws if the installed system captures audio
  • Compliance with any applicable industry-specific regulations governing surveillance in the Customer's business sector

Interstate Telecommunications, Inc. will advise the Customer on recommended camera placement for optimal coverage and security purposes. However, Interstate Telecommunications, Inc. makes no representation that recommended placement constitutes legal compliance and assumes no liability for the Customer's failure to comply with applicable surveillance laws, signage requirements, or notification obligations.

The Customer acknowledges that they have consulted with, or have had the opportunity to consult with, qualified legal counsel regarding their obligations prior to authorizing the installation of surveillance equipment on their premises for the first time.

Interstate Telecommunications, Inc. reserves the right to decline a trial installation at its sole discretion if the proposed installation location, camera placement, or business environment presents legal, ethical, or operational concerns.

Managed Services Agreement & Conversion Incentive

Upon the Customer's decision to purchase a full camera system, the following terms govern the managed services agreement and associated conversion incentive:

Minimum Initial Term

The managed services agreement requires a minimum initial term of six (6) months from the managed services start date. The Customer acknowledges that the minimum term is a condition of receiving the conversion incentive described below.

Automatic Continuation

Following the completion of the six (6) month initial term, the managed services agreement shall automatically continue on a month-to-month basis until terminated by either party. Either party may terminate the agreement after the initial term by providing thirty (30) days written notice to the other party. Termination notice must be submitted in writing via email to sales@interstatenetworks.com or by certified mail to Interstate Telecommunications, Inc.

Conversion Incentive — First Month Credit

Upon execution of a full system purchase agreement and managed services agreement, the Customer will receive a credit equal to one (1) month of Camera Managed Services applied to the first billing cycle. This credit is subject to the following conditions:

  • The credit applies exclusively to Camera Managed Services. It does not apply to WiFi, VoIP, Access Control, WAN, LAN, or any other service category
  • The credit is calculated at the standard Camera Managed Services rate of $50.00 base fee plus $3.00 per camera
  • The maximum credit value shall not exceed $80.00. Systems exceeding this threshold will receive an $80.00 credit with the remaining balance due at the standard rate
  • The credit has no cash value, is non-transferable, and may not be applied to any future billing cycle
  • The credit is void if the Customer cancels prior to completing the six (6) month initial term
Early Termination

Early termination prior to the completion of the six (6) month initial term will result in: (a) the first month credit being charged to the Customer at the standard rate; and (b) all remaining months of the initial term becoming immediately due and payable.

Non-Payment & Cure Period

In the event of non-payment, Interstate Telecommunications, Inc. shall provide written notice to the Customer. The Customer shall have ten (10) business days to cure the default. Failure to cure shall constitute grounds for immediate termination and acceleration of all remaining amounts due.

Equipment Retrieval

If the Customer chooses not to purchase a full system at the conclusion of the thirty (30) day trial period, Interstate Telecommunications, Inc. will contact the Customer within five (5) business days of the trial end date to schedule equipment retrieval.

The Customer agrees to provide Interstate Telecommunications personnel with reasonable access to the premises for retrieval purposes. Retrieval will be scheduled at a mutually convenient time during normal business hours.

Failure to provide access for retrieval within thirty (30) days of the trial end date will result in the Customer being invoiced for the full current replacement value of all unretrieved equipment.

Referral Program

Active Interstate Telecommunications managed services customers in good standing may participate in the Camera Trial Referral Program under the following terms:

Qualifying Referral

A qualifying referral is defined as a business referred by an existing customer that: (a) completes a full camera system purchase; AND (b) executes a minimum six (6) month managed services agreement. Referrals resulting in a trial only, a quote only, or any arrangement without a completed purchase and managed services agreement do not qualify.

Referral Identification

The referring customer must be identified by the referred business at the time of first contact with Interstate Telecommunications, Inc. Retroactive referral claims will not be honored.

Referral Credit

For each qualifying referral, the referring customer will receive one (1) free month of Camera Managed Services applied to their next billing cycle, subject to the same $80.00 maximum cap as the conversion incentive. Credits apply to Camera Managed Services only, have no cash value, are non-transferable, and expire if the referring customer's agreement is terminated prior to the credit being applied.

Program Modification

Interstate Telecommunications, Inc. reserves the right to modify, suspend, or discontinue the referral program at any time with thirty (30) days written notice to active participants. Earned but unapplied credits at the time of discontinuation will be honored for one (1) billing cycle following notice.

Marketing Rights

By signing the Trial Agreement, the Customer grants Interstate Telecommunications, Inc. the following limited marketing rights:

  • The right to photograph the installed trial equipment and installation environment for use in marketing and promotional materials
  • The right to use general, non-identifying project descriptions in marketing materials
  • The right to use anonymized footage clips demonstrating system capabilities, provided no identifiable individuals, customers, or private activities are visible

The Customer's business name, trade name, logo, address, owner or employee names, and any identifying information will only be used in marketing materials upon receipt of separate explicit written consent.

The Customer may be requested, but is not obligated, to provide a written or recorded testimonial or to serve as a reference customer.

The Customer may revoke marketing rights at any time by providing thirty (30) days written notice. Revocation does not affect materials already published or distributed prior to receipt of the revocation notice.

Limitation of Liability

To the maximum extent permitted by applicable law, Interstate Telecommunications, Inc. shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages of any kind arising from or related to this Agreement.

This limitation includes but is not limited to:

  • Loss of business revenue, profits, or opportunities
  • Theft, burglary, vandalism, or other criminal activity at Customer's premises
  • Personal injury or property damage
  • Failure of AI detection features to identify, capture, or alert on any event
  • Loss of recorded footage due to hardware failure, power interruption, or storage limitations
  • Interruption of remote access due to internet or network outages

In no event shall Interstate Telecommunications, Inc.'s total liability under this Agreement exceed the total amount paid by the Customer for managed services in the three (3) months immediately preceding the event giving rise to the claim.

General Provisions
Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles.

Dispute Resolution

Any disputes arising from this Agreement shall first be subject to good faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, the parties agree to submit to binding arbitration in the county in which the installation is located, in accordance with the rules of the American Arbitration Association.

Entire Agreement

This Agreement, together with the signed Trial Agreement, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements.

Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

Amendment

Interstate Telecommunications, Inc. reserves the right to amend these Terms and Conditions. Customers will be notified of material changes in writing with thirty (30) days notice. Continued participation following notice of amendment constitutes acceptance of the revised terms.

Waiver

Failure by Interstate Telecommunications, Inc. to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce that provision or any other provision in the future.
